Terms of service

Last updated: 13 October 2026

Who are we?

These terms are between you and SEOMAX, a digital marketing agency based in Brighton, Victoria, Australia. In these terms, "we", "us" and "our" refer to SEOMAX, and "you" refers to the business that buys our services.

When do these terms apply?

These terms apply when you buy a package online, accept a quote, or start using any SEOMAX service. You accept these terms at checkout or when you accept our quote.

What services do we provide?

We provide the services described in the package you buy or the quote you accept. These include websites with a CRM and an AI receptionist, Shopify stores, done for you Shopify dropshipping, Google Ads, Meta Ads, SEO and Omnisend email and SMS marketing. Your package page or quote sets out what is included.

How does billing work?

Our services are subscriptions billed monthly by card. Your first payment is taken when you buy your package or accept your quote, and later payments are taken each month on the same date. Any setup fee is charged with your first payment. If a payment fails, we may pause the service until the payment is made.

Is there a success fee?

Some done for you Shopify dropshipping packages include a success fee. When one applies, we set out the rate, the revenue threshold, how revenue is measured and when the fee is billed in your quote or at checkout, before you pay. No success fee applies unless it is agreed in writing.

Who pays for ad spend and third party costs?

You pay all ad spend, stock, shipping and third party costs directly from your own card. These include your Shopify plan, your Omnisend account, apps, domains and any other tools your business uses. We do not mark up these costs, and we are not responsible for charges made by third party platforms.

Is there a lock in contract?

There is no lock in contract. Your subscription runs month to month until you cancel.

How do I cancel?

You can cancel at any time by emailing [email protected]. We confirm the date your cancellation takes effect in writing. We do not refund fees for a month that has already started, unless the Australian Consumer Law requires it.

What happens when I cancel?

You keep ownership of your store, your ad accounts, your Omnisend account and your data. We will remove our access when the service ends. If you cancel a website, CRM and AI receptionist subscription, we will explain your options for keeping your website content and data before the service ends.

What do you need from me?

You agree to: * give us accurate information and timely access to the accounts we need; * approve suppliers, products, prices and content when we ask you to; * make sure the products, claims and content on your store and ads are lawful and accurate; and * keep a valid card on file for your own ad spend and third party costs.

Who is responsible for dropshipping suppliers?

When we manage order fulfilment with your suppliers, we place and track orders on your behalf. You remain the seller to your customers, and you are responsible for: * approving each supplier and product cost before we go live; * making sure your products are safe, legal to sell in Australia and correctly described; * meeting your obligations to your customers under the Australian Consumer Law, including refunds, returns and warranties; and * paying for stock and shipping from your own card.

Suppliers are independent businesses. We are not responsible for a supplier's stock levels, product quality, shipping delays or business practices, although we will help you resolve issues where we can.

Do you promise results?

We work hard to grow your business, but we cannot promise any particular number of leads, orders, sales or rankings. Results depend on many things outside our control, including your products, pricing, budget, competition and platform changes.

Who owns the work?

You own your accounts and your data. Ownership of the designs, themes, ad creatives and copy we create for you is set out in your package or quote.

What about the Australian Consumer Law?

Nothing in these terms excludes, restricts or changes any rights you have under the Australian Consumer Law that cannot be excluded. Where the law allows, our liability is limited to supplying the services again or paying the cost of having them supplied again.

How do we handle disputes?

If you are unhappy with our service, please contact us first, and we will work with you in good faith to resolve it. These terms are governed by the laws of Victoria, Australia.

Can these terms change?

We may update these terms from time to time. We will tell you about any important change by email before it takes effect.

How can I contact you?

You can email us at [email protected] or call us on 03 8400 0295. You can also read our privacy policy.
